The transfer agent’s SEC record
A transfer agent registers with the SEC on Form TA-1 and reports each year on Form TA-2: how many securityholder accounts it keeps and for how many issues it keeps the master securityholder file, the list that says who owns each share.
| Agent | SEC file | TA-2 period | Accounts | Issues with master file | Work it hires out |
|---|---|---|---|---|---|
| WisdomTree Transfers, Inc. | 084-06766 | 2025-12-31 | 699 | 15 | None |
Who can change the record
Powers read from the deployed contracts and their verified source: the token and every contract it consults on transfer. A power recorded here is the issuer’s ability, not evidence it has been used.
| Chain | Freeze a holder | Pause | Claw back | Gate holders | Change the code | Keys held by |
|---|---|---|---|---|---|---|
| Ethereum | Yes | Yes | Yes | Yes | Yes | A single key can claw back tokens and pause transfers and freeze a holder. Admin key: a single key. A single key can change the code with no delay. |
Who holds the keys
Every current holder of each power, read from the chain on 2026-09-23. A single key is one private key: whoever holds it acts alone. A multisig needs the stated number of signers. A timelock makes every action wait, so holders can see it coming.
| Chain | Key | What it can do | Held by | Address |
|---|---|---|---|---|
| Ethereum | Admin role | grant and revoke these powers, change the code, decide who may hold | a single key | 0x6257…a58a |
| Ethereum | Issuer role | mint new tokens | a single key | 0x726d…38e5 |
| Ethereum | Registrar role | decide who may hold, mint new tokens, claw back tokens, pause transfers, freeze a holder | a single key | 0x726d…38e5 |

- The transfer agent, the compliance module, or any freeze, clawback, pause, or whitelist power on the Ethereum contract changes
- WisdomTree Prime’s FAQ stops saying all 50 US states, names DC or a territory, or the prospectus names a state where the fund is not sold; the state list is corrected by supersession
- A NAV break, redemption suspension, or Official Record correction affecting holders
- WisdomTree publishes the contract addresses for the chains its prospectus names (Arbitrum, Avalanche, Base, Optimism, Solana, Plume, and the Stellar default); each is then read and added
What the monitor reads daily
Every control function in the table above and the contracts the token consults on transfer; the token’s on-chain supply against yesterday’s; and its market quote against its one-dollar value. Every document quoted above is re-read too, and a quote that leaves its document reopens the file. EDGAR is read for the transfer agent’s registration; a new filing reopens the file. A key that appears, disappears, or changes shape counts as a change only when the chain’s own log shows the grant, revocation, or signer change between yesterday’s block and today’s; a difference the log does not show updates this file’s key list and nothing more. A change opens a review item in the governance queue and reopens the file before any client action. Subscribers get an email naming each of their clients who hold it, with the household result.

| Date | Change |
|---|---|
| 2026-09-22 | Filed. |
| 2026-09-23 | Revised. Superseded the same day: the file listed only individuals as account types while its own venue row names WisdomTree Connect, the institutional channel. Entities are now listed, with the channel each uses. |
| 2026-09-23 | Revised. Superseded to quote the issuer’s terms from the current prospectus (Form 497, revised 2026-08-14): the fund was renamed the Treasury Money Market Digital Fund, and the 1:00 p.m. cutoff the file carried came from the 2023 prospectus and is no longer stated. |
| 2026-09-23 | Revised. Superseded to record the state list. The file said the list was unconfirmed and cited a 2024 Stellar statement that Prime reached 41 states; WisdomTree Prime’s own FAQ now says the app is available in all 50 US states, so the file lists the 50 states and quotes the FAQ. DC and the territories are not named and stay off the list. |
