Our research assessment remains unresolved. OpenTrade states plainly that it has ”No Retail Users”: investors must be high-net-worth individuals, companies, professional clients, sophisticated investors, or accredited investors ”or the equivalent,” and must complete full Kroll KYC/AML/CFT screening. That alone puts OpenTrade in the same access-rejected category as BUIDL, USYC, and the other institutional-only RWA products in this batch. A serious disclosure gap adds to that concern. OpenTrade’s public materials do not document any admin, pause, or emergency-control power over the vault contracts, even though the underlying Perimeter Protocol architecture, which OpenTrade forked from Circle Research, lists privileged Pool Admin roles as a standard feature. OpenTrade also never names its regulated custodians or broker-dealers. The docs refer only to ”Regulated Custodians” and ”Broker/Dealers.” This review could not find a primary audit report for vault contract versions v2 through v5, although the docs refer to several audits. The bankruptcy-remote Cayman SPC wrapper is a real structural strength, but it does not replace clear disclosure of how the contracts are controlled.

Mechanism and products

OpenTrade, founded in London in 2023, forked Circle Research’s open-source Perimeter Protocol to build a treasury-management lending framework with several vault types: a USD Money Market Fund vault backed by Fidelity, WisdomTree, and Franklin Templeton money market funds and T-bills; a EURC vault backed by EUR sovereign bonds; a High Yield Corporate Bond vault tracking BlackRock’s iShares SHYG ETF; a ”Prime+” daily-liquidity vault; a dynamically rebalanced ”Sierra” RWA portfolio; and delta-neutral on-chain strategies. Most exposure is on Avalanche, with about $233M across 24 instruments. Plume has about $37M, and Ethereum has about $30M.

Legal structure

Open Trade Technology Ltd. in the UK operates the platform. OpenTrade SPC, a Cayman Islands segregated portfolio company formed under the Cayman Companies Act, is the financial counterparty. Each product is ring-fenced as its own ”Portfolio” and legally separate from the other portfolios and the UK operating entity. The OpenTrade Foundation holds the SPC to keep it bankruptcy remote, under the supervision of Leeward Management, an independent Cayman trustee. Five Sigma Finance Ltd. is the investment advisor. Vantru (Mulvaney Trustees) is the security trustee and holds the collateral security interest for lenders. This is a true bankruptcy-remote secured-lending structure. In legal terms, it is closer to a lending wrapper than a fund-share instrument such as BUIDL or USYC.

Eligibility

The platform states that it serves ”No Retail Users.” It accepts only high-net-worth individuals, companies, professional clients, sophisticated investors, or accredited investors. Kroll screens them for identity, sanctions, PEP status, adverse media, and source of wealth, with enhanced due diligence for higher-risk entities. The platform expressly excludes North Korea, Cuba, Iran, Syria, and Russia, as well as any comprehensively sanctioned country. This review found no published minimum investment in any accessible source. Comparable products in this batch disclose minimums of $5,000 or $100,000. OpenTrade likely discloses its minimum only during onboarding.

The control disclosure gap

No public document explains the admin, pause, or emergency-freeze powers over the deployed vault contracts, who holds those powers, or whether a timelock applies. The Perimeter Protocol whitepaper that OpenTrade forked describes a generic ”Pool Admin” role in the underlying architecture. That makes it likely that OpenTrade’s system has some privileged role. Yet this review could find no published details about the specific setup, the key holder, or any protective timelock. OpenTrade also does not name its regulated custodians or broker-dealers, referring to them only by role and not by firm. For a lending platform that holds client capital, this gap alone is enough to reject it, apart from the access bar.

Redemption, track record, and comparison

OpenTrade processes withdrawal requests the same day in most cases if submitted by the 6pm GMT same-day cutoff, and within two business days otherwise. It also offers an undefined ”instant liquidity” tier to customers who meet unspecified added eligibility rules. This implies gates tied to underlying-asset liquidity for larger redemptions, but the docs give no more detail. OpenTrade has raised a cumulative $28M-plus through a 2023 seed round backed by Circle Ventures and Polygon Ventures, a 2024 extension, a 2025 raise, and a 2026 strategic round. Search found no security incident. The docs refer to audits of several protocol versions by unnamed ”market-leading cybersecurity firms,” but this review could not find a specific audit report. USYC, OUSG, and USTB were all rejected on the same institutional-access grounds. OpenTrade covers more asset classes, including Treasuries, corporate bonds, and delta-neutral strategies, but publishes far less about the control and custody questions that matter most in a lending structure.
